Which form suits your plansSole proprietorship, GmbH or AG, each with liability, capital, social insurance and tax.

Sole proprietorship

Quick and without minimum capital, but you are liable with your private assets. A sole proprietorship must be entered in the commercial register if it had revenue of at least CHF 100,000 in the last financial year. Liberal professions without a commercially run business are exempt.

Social insurance
You count as self-employed, provided the AHV compensation office (Ausgleichskasse) recognises this. You bear the AHV/IV/EO contributions on your profit alone. Pension fund and accident insurance are voluntary. You are not insured against unemployment.
Tax
The profit is taxed privately together with your other income. That is simple, but with higher profits the full progression applies.

GmbH

Share capital (Stammkapital) of CHF 20,000, to be paid in full. Liability is limited to the company’s assets. The members are publicly visible in the commercial register.

Social insurance
As managing director, you are an employee of your GmbH. AHV/IV/EO, unemployment insurance (ALV), pension fund and accident insurance are due on your salary. Owners, however, receive unemployment benefits only to a limited extent. Dividends are free of AHV contributions as long as the salary is appropriate.
Tax
The GmbH pays profit tax and capital tax. You pay tax privately on salary and dividends, on dividends from a shareholding of 10 per cent or more only partially. The mix of salary and dividends can be planned.

AG

Share capital (Aktienkapital) of CHF 100,000, at least CHF 50,000 of which must be paid in. Shareholders remain anonymous to the outside world. The usual form if investors are to join later.

Social insurance
As managing director, you are an employee of your AG. All social insurance contributions are due on salary and board fees. Owners receive unemployment benefits only to a limited extent. Dividends are free of AHV contributions as long as the salary is appropriate.
Tax
The AG pays profit tax and capital tax. You pay tax privately on salary and dividends, on dividends from a shareholding of 10 per cent or more only partially.

For all three: from CHF 100,000 in revenue per year, you are liable to VAT (MWST).

All four are set out in the Swiss Code of Obligations or in the VAT Act. As for the capital: it is not a fee. After the commercial register entry, the blocked account is released and the money is available to your company for its business.

Setting up a sole proprietorship

Our fee is CHF 290, including formation advice, registration with the commercial register and VAT registration. You need neither minimum capital nor a notary, but you are liable with your private assets. A sole proprietorship must be entered in the commercial register from revenue of CHF 100,000 in the last financial year; liberal professions without a commercially run business are exempt (Art. 931 para. 1 CO).

Setting up a GmbH

The share capital (Stammkapital) is at least CHF 20,000 and is paid in full into a capital deposit account at formation. Public certification by a notary is mandatory. Our fee is CHF 990 for a cash formation and CHF 2,500 with contributions in kind. Including the notary, the commercial register and the bank, a cash formation usually costs CHF 2,400 to 4,700.

Notary

Mandatory for a GmbH and an AG. Depending on the canton and the capital, around CHF 600 to 2,500. Paid directly to the notary’s office, not to us.

Commercial register

Around CHF 600 for a GmbH or AG. Lower for a sole proprietorship, and below CHF 100,000 in revenue often not needed at all.

Capital deposit account

Banks usually charge a fee in the range of CHF 200 to 600 for the blocked account.

The capital itself

CHF 20,000 for a GmbH, at least CHF 50,000 for an AG. That is not a fee. The money then belongs to your company and is available for its business.

What comes afterwards

Accounting, social insurance, VAT and the first annual accounts. That is the part formation offers like to leave out, and it recurs for years.

For a GmbH formed with cash, the costs are therefore usually between CHF 2,400 and 4,700, plus the share capital of CHF 20,000, which belongs to your company and is not lost. If you read ‘from CHF 249 all-inclusive’ somewhere, it is worth asking which of these items are included.

Process

From the idea to the commercial register entry

Three steps, usually 2 to 3 weeks from complete documents. Most of that time is needed by the notary and the authority, not by us.

  1. Initial meeting

    Legal form, capital requirements, company name and purpose. 30 minutes, free of charge, and afterwards you know what lies ahead and what it costs in total.

  2. Documents and account

    We check the name with the commercial register and prepare the articles of association and the deed of incorporation for the notary. For the capital deposit account, you receive all the documents ready to hand, so that the bank does not ask for anything more at the first attempt. You have to open the account yourself.

  3. Notary, entry and start

    First comes the public certification (öffentliche Beurkundung): mandatory for a GmbH and an AG, not needed for a sole proprietorship. We prepare everything, you attend and sign. The commercial register office then makes the entry, the capital is released, and we register you with the AHV and, if necessary, for VAT.

In addition to the accounting, there is the registration with the AHV compensation office, the question of VAT and, as soon as you employ someone, joining a BVG pension fund and an accident insurer. These are the three things most often left undone after a formation.

Forming a company in Switzerland as a foreign national

  • Owning a company and working in Switzerland yourself are separate questions. Check the requirements for both.
  • EU/EFTA nationals must demonstrate their self-employed activity to the competent authority.
  • For third-country nationals, the requirements also depend on their existing residence status.
  • A GmbH or AG must be able to be represented by a person resident in Switzerland.

Frequently asked questions

How long does a formation take?

Once the documents are complete and the capital has been paid in, the commercial register entry is usually made within 2 to 3 weeks. Most of this time is taken up by the notary and the commercial register office.

What comes on top of your fee?

Notary fees and the commercial register fee. Both depend on the canton and the capital. We tell you the expected amount in the initial meeting, so that you know the total costs.

Do we need a capital deposit account?

For a GmbH and an AG, yes. The capital is paid into a blocked account and released after the commercial register entry. You have to open the account yourself; the banks require the founder to be there in person. Beforehand, you get everything from us that the bank wants to see, so that the appointment goes through at the first attempt.

Do we have to register for VAT?

It becomes mandatory from CHF 100,000 in annual revenue. Below that, voluntary registration is sometimes worthwhile, for example with large investments that qualify for input tax deduction. We look at this with you.

Can foreigners set up a company in Switzerland?

Yes. For a GmbH or AG, however, at least one person with signing authority who is resident in Switzerland must be registered. For an AG, we can take on this role through a board mandate (Verwaltungsratsmandat). A GmbH has no board of directors; there, this person must be a managing director or a registered officer (Direktor). What does a formation cost in total?

For a GmbH formed with cash: our fee of CHF 990, plus the notary at around CHF 600 to 2,500 depending on the canton, the commercial register fee of around CHF 600 and a bank fee for the capital deposit account. Together, the costs are usually between CHF 2,400 and 4,700, plus the share capital of CHF 20,000, which belongs to your company and is not lost. If you read ‘from CHF 249 all-inclusive’ somewhere, it is worth asking which of these items are included.

GmbH or sole proprietorship: which is right for us?

A sole proprietorship is quick and needs no capital and no notary. But you are liable with your private assets. A GmbH limits liability to the company’s assets, requires CHF 20,000 in capital and comes with an obligation to keep accounts. As a rule of thumb: if you start alone, carry little risk and stay below CHF 100,000 in revenue, a sole proprietorship serves you well. As soon as employees, investments or liability risks come into play, the GmbH is the calmer choice. The detailed comparison of all three forms is in our article on legal forms, available in German.

What happens straight after the commercial register entry?

Three things that are easily forgotten. First, registration with the AHV compensation office, even if you initially work alone. Second, checking whether VAT registration is necessary or worthwhile. And third, accounting: it starts with the commercial register entry, not next January. We take care of all three if you wish.

Can we convert a sole proprietorship into a GmbH later?

Yes, that is a common path. The business is transferred to the new company, depending on the structure as a contribution in kind, which requires a valuation and an audit. We prepare the founders’ report (Gründungsbericht) with you. It must be audited by a licensed auditor, and because we helped write it, we arrange an independent audit firm for this. For tax purposes, this can be done without tax consequences under certain conditions, but those conditions need to be checked beforehand. Talk to us before you act, not afterwards.

Do you also set up domiciliary companies or pure holding companies?

We set up operating companies, that is, companies that run a business. A holding company that holds operating subsidiaries counts as one for us. For a pure domiciliary company (Sitzgesellschaft) without activities of its own, we decline. The reason lies in the revised Anti-Money Laundering Act (Geldwäschereigesetz): since 1 October 2026, assisting with the formation of non-operating legal entities has been an activity that falls under the act, with its own due diligence and documentation duties. We are not set up for this area, and offering a service half-heartedly is out of the question for us.
